1. Introduction

Welcome to Ohana Kava Bar’s Wholesale Program. By applying for and participating in our wholesale program, you agree to adhere to the following terms and policies. Please read this agreement carefully before submitting your application.

2. Eligibility

To qualify for our wholesale program, applicants must:

• Operate a legitimate business with a valid business license.
• Provide a valid Tax ID/EIN and reseller permit.
• Agree to our terms and conditions as outlined in this agreement.

3. Application Process

• Complete the wholesale application form with accurate and current information.
• Submit necessary documentation, including business license and reseller permit.
• Ohana Kava Bar reserves the right to approve or deny any wholesale application at our discretion.

4. Pricing and Minimum Orders

• Wholesale pricing is available only to approved wholesale accounts.
• Minimum order quantities may apply to receive wholesale pricing.
• Prices are subject to change without prior notice. We will notify you of any price changes before your order is processed.

5. Payment Terms

• Payment is due at the time of order unless other arrangements have been made and approved by Ohana Kava Bar.

6. Shipping and Delivery

• Shipping costs are the responsibility of the wholesaler and will be added to your invoice.
• We offer various shipping options; please select your preferred method at checkout.
• Ohana Kava Bar is not responsible for shipping delays caused by the carrier.

7. Returns and Exchanges

• All sales are final. Returns and exchanges are not accepted unless for error correction.
• Any claims for defective or damaged products must be made within 7 days of receiving the order.
• Approved returns will be issued a credit or replacement at our discretion.
• Only unopened products are eligible for returns. If the product is opened, the return will be evaluated on a case-by-case basis.
• No returns or refunds will be processed without the paper invoice copy and evidence of the incorrect or missing items.
• We reserve the right to refuse any return or refund if the above conditions are not met.

8. Use of Products

• Wholesale customers are authorized to resell Ohana Kava Bar products in their original form.
• Any alteration, rebranding, or repackaging of Ohana Kava Bar products is strictly prohibited without prior written consent.

9. Marketing and Branding

• Wholesale customers are encouraged to use Ohana Kava Bar marketing materials and branding guidelines to promote our products.
• Any use of our brand, logo, or marketing materials must be in accordance with our brand guidelines and approved by Ohana Kava Bar.

10. Confidentiality

• All wholesale pricing, product information, and other business-related information provided by Ohana Kava Bar are confidential and should not be disclosed to any third parties.

11. Termination

• Ohana Kava Bar reserves the right to terminate any wholesale account at our discretion, with or without cause.
• Upon termination, the wholesaler agrees to cease using all Ohana Kava Bar branding and marketing materials and to settle any outstanding payments immediately.

12. Amendments

• Ohana Kava Bar reserves the right to amend these terms and policies at any time. Wholesale customers will be notified of any significant changes.

13. Governing Law

• This agreement is governed by the laws of the state in which Ohana Kava Bar operates: the State of Colorado.

14. Acceptance of Terms

By submitting the wholesale application, you acknowledge that you have read, understood, and agree to be bound by these terms and policies.
